VI. INCENTIVES TERMS

1. SCOPE AND OVERVIEW

These Incentives Terms (“Incentives Terms”) govern all cash-equivalent and non-monetary bonuses, rewards, incentives, credits, perks, benefits, and similar items of value that Vamble may define, grant, issue, or distribute at any time (collectively, “Incentives”).

Incentives may be granted:

  • through Promotions,
  • as part of an Entry tier,
  • based on milestone activity,
  • as discretionary goodwill or customer service adjustments,
  • or independently of any structured program.

Incentives are distinct from Prizes, which are governed exclusively by Section VII. (Prize Terms).

These Incentives Terms supplement and are incorporated into the Terms of Service, Wallet & Funds Terms, Responsible Platform Use and Gaming Policy, and Legal Disclaimer.

2. KEY DEFINITIONS

2.1 Incentives

“Incentives” means all promotional, voucher-style credits and bonuses, rewards, perks, benefits, or similar items of value, whether cash-equivalent or non-monetary, granted to Users and added to the Platform by Vamble in its sole discretion, at any time.

2.2 Promotional Credits

“Promotional Credits” are promotional, voucher-style credits granted by Vamble that may be used only as permitted under these Incentives Terms and any Promotion-specific terms. Promotional Credits are not cash, have no cash value, are not withdrawable, and may be used only as Promotional Stake in eligible Contests (if offered and permitted). Examples may include, without limitation, Free Play Bonus (FPB), Deposit Match (DM), Game Streak Bonus (GSB), Handle Bonus (HB), and any successor or similar promotional credit.

2.3 Perks (Non-Monetary Incentives)

“Perks” are non-cash benefits, including but not limited to:

  • digital cosmetics, avatars, badges, profile frames, or animations;
  • username reservations;
  • early-access or beta-access features;
  • invitations to events, summits, or roundtables;
  • physical merchandise or hardware gifts;
  • creator or partnership program benefits;
  • Platform Fee Waivers; and
  • similar experiential or access-based benefits.

Perks are not cash, not credits, not wagers, not transferable, and have no cash value. Perks are granted only when expressly included in an Entry tier at the time of purchase and reflected in the Platform, or when expressly granted by Vamble in its sole discretion.

2.4 Mixed Stake

“Mixed Stake” is comprised of both Cash Stake and Promotional Stake.

2.5 Fully-Cash Funded Stake

“Fully-Cash Funded Stake” means a User’s Stake funded 100% with Cash Stake (i.e., real money reflected in the User’s Wallet). By definition, a User’s Stake is not a Fully-Cash Funded Stake if any portion of a User’s total Stake is promotional.

2.6 Minimum Cash Stake Requirements

“Minimum Cash Stake Requirements” means any cash-funding thresholds or conditions that must be satisfied for certain milestone Incentives (including GSB and HB) to accrue, as disclosed in the Platform or Promotion-specific terms.

2.7 Promotional Credits Balance

“Promotional Credits Balance” has the meaning set forth in Section IV.2.3 (Promotional Credits Balance). For avoidance of doubt, Promotional Credits have no cash value, are non-withdrawable and non-transferable, and may be used only as Promotional Stake in eligible Contests (if permitted) and only as described in these Incentives Terms and any Promotion-specific terms.

2.8 Locked Balance

“Locked Balance” means a portion of a User’s Wallet Balance recorded on the internal ledger as a Settlement credit that is not withdrawable unless and until stated conditions are satisfied (including Play-Through). Locked Balance may include Promotional-Attributed Winnings.

2.9 Winnings

“Winnings” means the net Settlement credit recorded on Vamble’s internal ledger as a result of winning a Contest, after application of any applicable fees and subject to Holds, compliance checks, disputes, reversals, and other restrictions under the Wallet & Funds Terms. Depending on how the Contest was funded, Winnings may be recorded as withdrawable Cash Balance and/or as Locked Balance.

2.10 Promotional-Attributed Winnings

“Promotional-Attributed Winnings” means the portion of Winnings recorded as a Settlement credit that is attributable to any Promotional Stake used in the Contest (by either Participant) under the voucher-stake model. Promotional-Attributed Winnings are recorded on Vamble’s internal ledger as Locked Balance and are non-withdrawable unless and until the Play-Through Requirement (and any other applicable conditions) is satisfied. Promotional-Attributed Winnings are not Promotional Credits.

2.11 Vamble-Funded Cash-Equivalent Credit

“Vamble-Funded Cash-Equivalent Credit” means a cash (cash-equivalent) Settlement credit funded by Vamble and credited to the winning participant in an eligible Contest when the losing participant’s Stake included Promotional Stake, in an amount equal to the losing participant’s Promotional Stake. This credit is not a conversion of Promotional Credits into cash and does not make Promotional Credits withdrawable.

2.12 Play-Through Requirements

“Play-Through Requirements” means the post-credit Stake requirements applicable to Promotional-Attributed Winnings. Play-Through is satisfied when, after Promotional-Attributed Winnings are credited, the aggregate amount of the User’s own Fully-Cash Funded Stake placed at risk across one or more eligible Contests is at least three (3) times the amount of the Promotional-Attributed Winnings. Promotional Stake does not count toward Play-Through.

2.13 Entry

“Entry” means a one-time purchase that locks a User’s V1 Status tier and grants the specific Incentives designated for that tier at the time of purchase. Entry:

  • is not a deposit;
  • does not create a Wallet Balance;
  • is not playable or available for use as Stake;
  • is not redeemable for cash and is not withdrawable;
  • is non-refundable except as expressly stated herein; and
  • does not entitle any User to future Incentives granted to others.

3. GENERAL RULES FOR ALL INCENTIVES

3.1 No Cash Value

Unless explicitly defined as a Prize under the Prize Terms, Incentives have no cash value and may not be withdrawn, redeemed, refunded, sold, transferred, or converted to money.

3.2 Allocation Rule (By Funding Source)

Vamble tracks each participant’s Stake as two components, Cash Stake and Promotional Stake. Settlement credits are allocated based on those components and may include Winnings or Promotional-Attributed Winnings.

3.3 Outcome, Settlement, Incentives Treatment (Canonical Chain)

This Section governs how Incentives behave based on a Contest’s Settlement Status under the Terms. If there is any conflict between Promotion-specific terms and this Section, Vamble may apply the stricter rule where reasonably necessary for integrity, fraud prevention, compliance, or risk management.

  1. Non-Void Terminal Outcomes (Win/Loss/Forfeit/Abandonment)

    For any Contest that is settled as a Win/Loss, Win/Loss by Forfeit (including No-Show), or Win/Loss by Abandonment:

    1. Promotional Stake is Consumed

      Any Promotional Stake used in the Contest is consumed at Settlement and is not returned as Promotional Credits, regardless of which participant wins.

    2. Cash Stake Settles Normally

      Cash Stake components settle in the ordinary course (return of the winner’s Cash Stake and transfer of the losing participant’s Cash Stake to the winner), net of any disclosed fees.

    3. Losing Participant’s Promotional Stake Triggers Vamble Funding (If Applicable)

      To the extent the losing participant’s Stake included Promotional Stake, Vamble will fund and credit the winning participant a Vamble-Funded Cash-Equivalent Credit .equal to the losing Participant’s Promotional Stake, subject to any applicable Fees disclosed under these Terms and subject to Holds, fraud review, reversals, chargebacks, and error correction as permitted under the Terms.

    4. Winning Participant’s Promotional Stake Produces No Cash Equivalent

      No cash (cash-equivalent) credit is issued for Promotional Stake used by the winning participant; that Promotional Stake is consumed.

  2. Voided Outcomes (Permitted Void Conditions Only)

    If a Contest is assigned the Settlement Status of Voided under Permitted Void Conditions:

    1. Return-in-Kind Rule

      Stake is returned to each participant in the same amount and the same type originally Staked (Cash Stake returned as Cash Stake; Promotional Stake returned as Promotional Credits), net of any adjustments expressly permitted under the Terms (including Holds, reversals, chargebacks, fraud recovery, and error correction).

    2. No Vamble-Funded Cash-Equivalent Credit on Void

      Vamble-Funded Cash-Equivalent Credit is not issued for Voided Contests because no participant is a “winner” for Settlement purposes.

    3. Abuse / Fault / Imminent Loss Carve-Outs

      Vamble may deny re-crediting Promotional Stake (in whole or part) and/or apply other adjustments where Vamble determines that:

      1. the interruption was caused by User-Attributable Readiness Failure, voluntary exit, Intentional Disconnect, or other participant-attributable conduct;
      2. there was fraud, abuse, or a Terms violation; or
      3. the Contest had reached an Imminent or Reasonably Determinable Loss stage for the participant seeking re-credit, and granting a Void/re-credit would reasonably enable abuse. In such cases, Vamble may treat the Contest as a Forfeit/Abandonment where permitted by the Terms, or may apply promotional forfeiture or other enforcement remedies under these Terms.
  3. Tie

    A Tie is treated as Voided unless Contest-specific rules provide otherwise. Stake is returned in-kind (Cash Stake returned as Cash Stake; Promotional Stake returned as Promotional Credits), subject to the Terms (including Holds, reversals, chargebacks, fraud recovery, and error correction). No Vamble-Funded Cash-Equivalent Credit is issued and no Promotional-Attributed Winnings are created.

  4. Canceled (Pending Review), Rescheduled, Restarted (Non-Terminal)

    While a Contest is in a non-terminal status (including Canceled (Pending Review), Rescheduled, or Restarted):

    1. Stake Remains Locked

      Promotional Stake remains locked as Promotional Stake and is not consumed; Cash Stake remains locked as Cash Stake, unless and until the Contest reaches a terminal Settlement Status (Win/Loss/Forfeit/Abandonment/Void) or is otherwise resolved under the Terms.

    2. No Play-Through Accrual Until Terminal Settlement

      No Promotional-Attributed Winnings are credited and no Play-Through Requirement is triggered until a terminal Settlement credit is posted.

3.4 Promotional-Stake Settlement; Mixed-Stake Allocation (Operational Mechanics)

For any Contest where either participant uses Promotional Stake (a Mixed Stake Contest or Promotional Stake-only Contest where permitted), Vamble records Settlement on its internal ledger consistent with Section VI. 3.3 (Outcome, Settlement, Incentives Treatment) and the Terms as follows:

  1. Cash Stake Components

    Cash Stake components are settled normally as between participants based on the verified terminal outcome (including Forfeit/Abandonment outcomes), net of disclosed fees.

  2. Promotional Stake Components

    Promotional Stake is governed by Section VI. 3.3 and is consumed on Non-Void Terminal Outcomes and returned in-kind only on Voided outcomes, subject to the carve-outs in Section VI. 3.3.

  3. Attribution and Locked Balance

    Any Settlement credits attributable to Promotional Stake are recorded as Promotional-Attributed Winnings and credited as Locked Balance, non-withdrawable unless and until Play-Through is satisfied, as described in Section VI. 3.5 (Play-Through Requirement; Eligible Contests; Contribution).

Example 1: If you use $10 Cash Stake and your opponent uses $10 Promotional Stake, and you win, you receive Settlement credits reflecting (i) return of your Cash Stake, (ii) transfer of your opponent’s Cash Stake (if any), and (iii) a Vamble-Funded Cash-Equivalent Credit equal to your opponent’s Promotional Stake, in each case net of any applicable Platform Fee (deducted from Total Stake) and any other applicable Fees disclosed under these Terms.

Example 2 (Mixed vs. Mixed): If you stake $6 Cash Stake + $4 Promotional Stake, and your opponent stakes $7 Cash Stake + $3 Promotional Stake, and you win, your Promotional Stake is consumed; your Settlement credits reflect (i) return of your Cash Stake, (ii) transfer of your opponent’s Cash Stake, and (iii) a Vamble-Funded Cash-Equivalent Credit equal to your opponent’s Promotional Stake, net of any applicable Platform Fee (deducted from Total Stake) and any other applicable Fees disclosed under these Terms.

3.5 Play-Through Requirement; Eligible Contests; Contribution

  1. Play-Through Requirement

    Promotional-Attributed Winnings are non-withdrawable and recorded as Locked Balance unless and until the User satisfies Play-Through as defined in Section VI. 2.12 (Play-Through Requirements). Only the User’s own Fully-Cash Funded Stake counts toward Play-Through. Promotional Stake does not count toward Play-Through.

  2. Eligible Contests and Credit Rate

    Vamble may designate certain Contests, formats, user segments, jurisdictions, or activity as ineligible for Play-Through credit or as having reduced credit (including 0% credit), including where reasonably necessary for fraud prevention, integrity controls, collusion prevention, responsible-platform-use controls, or legal/compliance reasons. Any such eligibility rules or limitations will be disclosed through the Platform or in Promotion-specific terms where practicable.

  3. Effect of Disputes, Holds, and Adjustments

    Play-Through credit and withdrawability are subject to Holds, compliance checks, dispute handling, and reversal/adjustment rights under the Wallet & Funds Terms and these Terms.

3.6 Non-Transferability

Incentives may not be sold, transferred, pooled, assigned, or shared.

3.7 Expiration

Each Incentive may expire on the date shown in the User’s Wallet or account interface. Expired Incentives have no value.

3.8 Eligibility and Compliance

Incentives may be restricted based on age, jurisdiction, identity verification, KYC/AML requirements, sanctions screening, responsible-gaming controls, or legal obligations.

3.9 Earned Incentives

Vamble will not revoke Incentives that have been validly earned or granted except in cases of fraud, abuse, circumvention, error, Terms violations, or legal or regulatory requirements.

3.10 Bonus / Promotional Credit Surrender

Where supported by the Platform, a User may elect to surrender Promotional Credits and any remaining Locked Balance that is attributable to those Promotional Credits. Surrender is non-reversible and results in the loss of the surrendered amounts and any associated eligibility or benefit tied to the Promotion.

3.11 Discretion

Vamble may modify, suspend, replace, or discontinue any Incentive prospectively. Such changes do not create refund, compensation, or entitlement rights.

4. PROMOTIONAL CREDITS

Vamble may offer, modify, or discontinue Promotional Credits, such as FPB, DM, GSB, HB, or other similar Incentives at any time. If granted, details including limits, expiration, and usage rules will be displayed in the User’s Wallet.

All Promotional Credits follow voucher-stake rules, Play-Through Requirements, and expire per Wallet display, subject to these Terms.

Promotional Credits may become Promotional-Attributed Winnings and are subject to the requirements of Section VI. 3.3 (Outcome, Settlement, Incentives Treatment).

5. PERKS

5.1 No Cash Value

Perks are non-cash, non-redeemable, and non-transferable. Perks cannot be exchanged, sold, refunded, assigned, or converted into money, Wallet Balances, or any other form of consideration.

5.2 Entry Refund Exception

Entry purchases are final and non-refundable.

The sole refund exception applies only if Vamble does not commercially launch within twenty-four (24) months following the close of the pre-launch period. In such event, Entry will be refunded to the original payment method, and all associated Incentives and Perks will be voided.

No other circumstance, including delays, substitutions, feature changes, cancellations, or modifications, qualifies for a refund.

5.3 No Ownership, Governance, or Advisory Rights

Perks do not grant, and shall not be construed as granting, any equity interest, ownership rights, governance rights, voting rights, advisory role, employment relationship, fiduciary duty, partnership, joint venture, or agency relationship with Vamble.

Participation in summits, roundtables, beta programs, feedback sessions, or early-access initiatives does not create an advisory relationship, obligation of reliance, or entitlement to compensation.

5.4 Digital Perks

Digital Perks (including avatars, badges, profile frames, animations, username reservations, early-access features, or similar items):

  1. may be modified, replaced, limited, or discontinued at any time;
  2. may be subject to technical, operational, compatibility, or security constraints; and
  3. are provided “as available” and “as is,” without warranty.

Digital Perks have no cash value and may be withdrawn or altered without compensation where required for legal, regulatory, security, or operational reasons.

5.5 Physical Perks

Physical Perks, including swag or hardware gifts:

  1. may vary in appearance, model, color, size, or specifications;
  2. may be substituted with items of equal or greater value;
  3. are provided “as is” unless otherwise required by applicable law; and
  4. may be subject to shipping limitations, customs requirements, taxes, or delivery delays.

Vamble is not responsible for manufacturer warranties, third-party defects, loss after delivery, or misuse.

5.6 Event & Experiential Perks

Event-based Perks (including launch parties, summits, roundtables, travel benefits, or VIP access):

  1. may be subject to caps on value;
  2. require compliance with identity verification, age, and eligibility requirements;
  3. are non-transferable and non-exchangeable; and
  4. may be modified, postponed, relocated, or canceled for legal, regulatory, safety, security, or operational reasons.

No cash alternative, refund, or substitute compensation will be provided.

5.7 Early-Access & Beta-Access Perks

Early-access, alpha, or beta features:

  1. may be unstable, incomplete, or experimental;
  2. may be modified, limited, or withdrawn at any time; and
  3. are provided without warranty, guarantee, or expectation of continued availability.

Withdrawal or modification of early-access features does not entitle the User to refunds, credits, or compensation.

5.8 Platform Fee Waivers (Discretionary; Explicit Grant Only)

Platform Fee Waivers are Perks and are offered only when (a) expressly included in a User’s purchased Entry tier at the time of purchase and reflected as active in the Platform, or (b) expressly granted by Vamble in its sole discretion (for example, as a customer support accommodation, goodwill adjustment, Promotion-specific benefit, or limited-time offer). No Platform Fee Waiver is implied by marketing, tier labels, past practice, or participation in the Platform absent an explicit grant shown in the Platform or in writing.

Platform Fee Waivers:

  1. apply only to the qualifying User and only to eligible Contests expressly designated by Vamble;
  2. do not apply retroactively;
  3. do not apply to third-party fees, taxes, or processor costs; and
  4. may be modified, limited, suspended, or revoked at any time where Vamble reasonably determines misuse, circumvention, multi-accounting, fraud, a Terms violation, a legal/compliance requirement, or other risk or integrity concern.

5.9 Modification

Vamble may modify, suspend, replace, or discontinue Perks prospectively for lawful, regulatory, operational, or risk-management reasons.

Perks that have been validly earned will not be removed except as permitted under Section VI. 3.9 (Earned Incentives) and the enforcement provisions of the Terms.
